1. Acceptance of Terms

By accessing, using, or signing up for any NewRev AI service, including workshop signup forms, the NewRev AI platform, SMS communications, or related properties operated by NewRev AI LLC, you agree to be bound by these Terms of Service. If you do not agree, do not use the services.

2. Description of Services

NewRev AI LLC provides:

• Marketing automation and customer engagement software for home services businesses
• AI powered voice and SMS communications
• Workshop facilitation and educational events, including the Excellence in AI Workshop pro duced together with Ascend Brevard, the Florida SBDC at UCF, and the Veterans Florida Entrepreneurship Program
• Customer relationship management features built on the HighLevel platform
• Integrations and automation with vendor tools such as Twilio, Supabase, n8n, Anthropic, and OpenAI

Services are subject to change as we develop the platform. We will provide reasonable notice of material changes.

3. Eligibility

You must be at least 18 years old and have the legal capacity to enter into a binding agreement to use our services. By using the services, you represent and warrant that you meet these requirements.

4. Account Registration and Security

Some services require registration. You agree to:

• Provide accurate and complete information at signup
• Maintain the security of your password and account credentials
• Notify us immediately of any unauthorized access
• Take responsibility for activity under your account

We reserve the right to suspend or terminate accounts that violate these terms or applicable law.

5. SMS Communications

When you opt in to receive SMS messages from NewRev AI:

• You consent to receive automated text messages at the mobile phone number provided
• Message frequency varies by program. For workshop signups,upto10 messages per month
• Message and data rates from your mobile carrier may apply. NewRev AI does not charge a fee for SMS • You can reply STOP at any time to unsubscribe from a program
• You can reply HELP to receive contact information and program details
• SMS opt in is separate from email opt in and separate from creating a NewRev AI account

6. Acceptable Use

You agree not to:

• Use the services for any unlawful purpose
• Send unsolicited messages, spam, or harassing content through our infrastructure
• Attempt to reverse engineer, decompile, or circumvent technical protections
• Use the services to build a directly competing product
• Resell, sublicense, or transfer your account without our written permission
• Upload malware, viruses, or any harmful code
• Impersonate any person or misrepresent your affiliation with any organization
• Collect personal information about other users
• Interfere with the operation of the services or with other users

Violation of the Acceptable Use rules is grounds for immediate suspension or termination.


7. Intellectual Property

NewRev AI and its licensors own all rights in the services, including software, content, trade marks, logos, and proprietary methods. You receive a limited, revocable license to use the ser vices solely as described in these terms, and you may not assign or transfer this license without our written consent. You retain ownership of content you submit, and you grant NewRev AI a worldwide, royalty free license to use, store, process, and display that content for the purpose of providing the services.

8. Vendor and Partner Services

Theservices integrate with vendor andpartner platforms including HighLevel, Twilio, Anthropic, OpenAI, Supabase, Stripe, Google, Facebook, and others. Your use of those platforms is gov erned by their own terms and privacy policies. NewRev AI is not responsible for vendor or partner services or content.

9. Disclaimers

The services are provided “as is” and “as available” without warranties of any kind, express or implied. We disclaim all implied warranties including warranties of merchantability, fitness for a particular purpose, and that the services do not infringe rights of third parties. NewRev AI does not warrant that the services will be uninterrupted or error free, or that defects will be corrected. We do not guarantee specific business results from using the services, including any specific revenue, conversion rate, or lead volume.

10. Limitation of Liability

To the maximum extent permitted by law, NewRev AI, its officers, members, employees, agents, and licensors will not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, revenue, data, business opportunities, or goodwill, arising out of or related to your use of the services. Our total liability for any claim arising under these terms is limited to the amounts you paid to NewRev AI in the 12 months preceding the claim, or $100, whichever is greater.

11. Indemnification

You agree to indemnify, defend, and hold harmless NewRev AI and its officers, members, em ployees, agents, and licensors from any claim, demand, loss, damage, cost, or liability (including reasonable attorneys’ fees) arising out of your use of the services, your content, your violation of these terms, or your violation of any law or third party right.

12. Termination

We may suspend or terminate your access to the services at any time, with or without notice, for violation of these terms, for suspected fraud or misuse, or at our sole discretion. You may stop using the services at any time. Sections of these terms that by their nature should survive ter mination (including ownership, disclaimers, limitations, indemnification, and dispute resolution) will continue to apply after termination.


13. Governing Law and Dispute Resolution


These terms are governed by the laws of the State of «TODO Seth: confirm state of incorpo ration, likely Florida or Texas», without regard to its conflict of laws principles. Any dispute arising under these terms will be resolved by binding arbitration administered by the American Arbitration Association in «TODO Seth: arbitration venue, suggest county and state», except that either party may seek injunctive relief in court for intellectual property violations. You and NewRev AI agree to bring claims only in an individual capacity and not as a plaintiff or class member in any class or representative action.


14. Changes to These Terms

We may update these terms at any time. Material changes will be communicated by updating the “Last updated” date and, where appropriate, by direct notice. Continued use of the services after changes are posted constitutes acceptance.


15. Miscellaneous

These terms are the entire agreement between you and NewRev AI regarding the services. If any provision is found unenforceable, the remainder will remain in effect. Our failure to enforce any provision is not a waiver. You may not assign these terms without our written consent. We may assign these terms freely.

16. Carrier Liability Disclaimer

Carriers are not liable for delayed or undelivered messages.
